Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of Niia, operated by Niia ("Company", "we", "us", "our"). By creating an account or using any part of the platform, you agree to be bound by these Terms.

If you are using Niia on behalf of a business, you represent that you have the authority to bind that business to these Terms. In that case, "you" refers to that business.

If you do not agree to these Terms, do not use Niia.

The Services

Niia provides an AI-powered WhatsApp receptionist platform for salons, including:

Automated booking, rescheduling, and cancellation via WhatsApp
AI-generated responses to customer enquiries
Appointment reminder messages
A web dashboard for managing bookings, customers, staff, and analytics
Workflow automation features (select plans)
REST API and webhook integrations

We reserve the right to modify, suspend, or discontinue any feature at any time with reasonable notice. We will not be liable for any modification or discontinuation.

Accounts

Registration

You must provide accurate, current, and complete information when creating your account. You are responsible for maintaining the security of your login credentials and for all activity that occurs under your account.

Account responsibilities

Notify us immediately at connect@navan.ai if you suspect unauthorised access to your account
Do not share your account with others outside your organisation
You are responsible for all actions taken by staff members added to your account

Eligibility

You must be at least 18 years old and legally capable of entering into a contract to use Niia. Niia is intended for businesses, not individual consumers.

Acceptable Use

You agree not to use Niia to:

Violate any applicable law or regulation
Send unsolicited messages (spam) to WhatsApp users
Impersonate any person or entity
Collect or harvest customer data beyond what is necessary to provide your salon's services
Reverse engineer, decompile, or attempt to extract the source code of the platform
Use automated tools to scrape data from the platform
Interfere with or disrupt the integrity or performance of the platform
Use the platform for any purpose other than operating a legitimate salon or beauty business

Violation of these terms may result in immediate suspension or termination of your account without refund.

Subscriptions & Billing

Plans

Niia is offered on a monthly subscription basis. Current plans and pricing are displayed at niia.ai/pricing and within your dashboard.

Billing

Subscriptions are billed monthly in advance on your billing date. Payments are processed by Stripe. You authorise us to charge your payment method on file each billing cycle.

Upgrades & downgrades

You may upgrade or downgrade your plan at any time from the dashboard. Upgrades take effect immediately; downgrades take effect at the start of the next billing cycle.

Failed payments

If a payment fails, we will retry the charge and notify you by email. If payment remains outstanding after 7 days, your account may be suspended until payment is received.

Refunds

Subscription fees are non-refundable except where required by applicable law. If you cancel mid-cycle, you retain access until the end of the paid period.

Price changes

We may change pricing with 30 days' notice. Continued use after the effective date constitutes acceptance.

Free Trial

New accounts receive a 14-day free trial with full access to the Growth plan features. No credit card is required to start a trial.

After the trial ends, you must subscribe to a paid plan to continue using Niia. If you do not subscribe, your account will be downgraded or deactivated and your data will be held for 30 days before deletion.

We reserve the right to modify or discontinue the free trial offer at any time.

Intellectual Property

Our property

Niia and all associated software, designs, algorithms, AI models, text, logos, and trademarks are the exclusive property of Niia. These Terms do not grant you any rights in Niia's intellectual property except the limited licence to use the platform as described herein.

Your licence

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use Niia for your internal business purposes during your subscription period.

Your content

You retain all rights to the content you upload (services, prices, salon information). By uploading this content, you grant us a limited licence to use it to provide the platform services to you.

Your Data

You own your data. We process it on your behalf to provide the Niia service. Our handling of personal data is described in our Privacy Policy.

You are responsible for ensuring you have the right to share your customers' data with us. This includes obtaining any consent required under applicable law (including GDPR) to use an AI service to process customer messages.

Upon account termination, you may request a data export within 30 days. After 90 days, your data will be permanently deleted from our systems.

WhatsApp Compliance

By using Niia's WhatsApp integration, you agree to comply with:

You are responsible for ensuring your use of the WhatsApp integration complies with these policies. Violations may result in WhatsApp restricting or disabling your number. Niia is not responsible for actions taken by Meta against your WhatsApp account.

You must not use Niia's WhatsApp integration to send promotional mass messages or marketing campaigns unless explicitly permitted under WhatsApp Business Policy and you have the necessary opt-ins from recipients.

Disclaimer of Warranties

Niia is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that:

The platform will be uninterrupted, error-free, or free from bugs or viruses
AI-generated responses will be accurate, complete, or appropriate in all circumstances
The platform will meet your specific requirements

You are responsible for reviewing AI-generated content and maintaining appropriate oversight of customer interactions.

Limitation of Liability

To the maximum extent permitted by applicable law, Niia and its officers, directors, employees, and agents shall not be liable for:

Any indirect, incidental, special, consequential, or punitive damages
Lost profits, revenue, data, business, or goodwill
Damages arising from incorrect AI responses sent to your customers
Missed bookings or revenue lost due to platform downtime

Our total liability to you for any claim shall not exceed the fees paid by you to Niia in the 3 months preceding the claim.

Indemnification

You agree to indemnify and hold harmless Niia and its affiliates, officers, agents, and employees from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

Your use of Niia in violation of these Terms
Your violation of any applicable law or third-party rights
Your salon's handling of customer personal data
Content you upload to the platform

Termination

Cancellation by you

You may cancel your subscription at any time from Settings → Billing in the dashboard. Your access continues until the end of the current billing period.

Termination by us

We may suspend or terminate your account if you:

Violate these Terms or our Acceptable Use Policy
Fail to pay outstanding fees after a reasonable cure period
Use the platform in a way that creates legal risk for Niia or others

We will provide reasonable notice where possible, except in cases of severe or repeated violations.

Effect of termination

Upon termination, your access to the platform ceases immediately. Niia will not be liable for any losses resulting from termination in accordance with these Terms.

Governing Law

These Terms are governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE.

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice in the dashboard at least 14 days before the changes take effect. Your continued use of Niia after the effective date constitutes acceptance of the updated Terms.

If you do not agree to the updated Terms, you must stop using Niia before the effective date and cancel your subscription.
